1. Introduction

Welcome to BarnYard, a person-to-person marketplace connecting farmers, ranchers, and agricultural enthusiasts. These Terms and Conditions govern your use of the BarnYard website and services.

BarnYard serves solely as a platform designed to connect buyers and sellers. We do not sell, buy, exchange, or take possession of any items listed on the platform at any point. Our role is limited to providing the technology that allows users to connect with one another.

By accessing or using our platform, you agree to be bound by these Terms. If you disagree with any part of these terms, you may not access our services.

2. Definitions

Throughout these Terms, the following definitions apply:

  • "BarnYard," "we," "us," and "our" refer to the BarnYard platform and its operators.
  • "User," "you," and "your" refer to individuals who access or use the BarnYard platform.
  • "Content" refers to any information, text, graphics, photos, or other materials uploaded, downloaded, or appearing on the platform.
  • "Listing" refers to any item or service offered for sale on the platform.

3. Account Registration

To use certain features of our platform, you must register for an account. When you register, you agree to provide accurate, current, and complete information about yourself.

You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

We reserve the right to terminate or suspend accounts at our discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

4. User Conduct

As a user of BarnYard, you agree not to:

  • Violate any applicable laws or regulations.
  • Infringe upon the rights of others, including intellectual property rights.
  • Post or transmit any content that is unlawful, fraudulent, threatening, abusive, libelous, defamatory, obscene, or otherwise objectionable.
  • Attempt to interfere with, compromise the system integrity or security, or decipher any transmissions to or from the servers running the platform.
  • Use the platform for any purpose that is unlawful or prohibited by these Terms.
  • Engage in any form of automated data collection without our prior consent.
  • Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.

5. Listings and Transactions

Users may post listings for agricultural products, equipment, services, and related items. By posting a listing, you represent and warrant that:

  • You own or have the right to sell the item or service.
  • The item or service complies with all applicable laws and regulations.
  • Your listing description is accurate and not misleading.

Important: BarnYard is NOT a party to any transaction between users. We do not:

  • Buy, sell, or exchange items listed on the platform
  • Transfer legal ownership of items from the seller to the buyer
  • Process payments between buyers and sellers
  • Arrange for delivery, shipping, or pickup of items
  • Verify the quality, safety, or legality of items
  • Guarantee the completion of any transaction

Users are solely responsible for:

  • Arranging payment directly with other users outside the BarnYard platform
  • Organizing pickup, delivery, or shipping of items
  • Transferring ownership and completing all aspects of the transaction
  • Verifying the quality, authenticity, and legality of items
  • Ensuring personal safety when meeting other users in person

BarnYard is not responsible for the quality, safety, legality, or availability of items listed, nor the ability of sellers to complete a sale or buyers to complete a purchase.

6. Fees and Platform Usage

Currently, listing items on BarnYard is free. In the future, BarnYard may introduce premium features or services that could involve fees (such as premium account features or promotional options). If introduced, any such fees would be clearly communicated, and all fees would be non-refundable unless otherwise specified.

Important: BarnYard does NOT process payments between buyers and sellers for items listed on the platform. All payments for purchases must be arranged directly between users. BarnYard does not store credit card information for transaction purposes between users.

If applicable in the future, any fees for using the BarnYard platform itself (not related to buyer-seller transactions) may be processed through third-party payment processors, and by paying such fees, you would agree to be bound by the payment processor's terms of service.

7. Intellectual Property

The BarnYard platform and its original content, features, and functionality are owned by BarnYard and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

By posting content on the platform, you grant BarnYard a non-exclusive, royalty-free, transferable, sublicensable, worldwide license to use, display, reproduce, and distribute your content in connection with the operation of the platform.

8. Limitation of Liability

To the maximum extent permitted by law, BarnYard shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

  1. Your access to or use of or inability to access or use the platform;
  2. Any conduct or content of any third party on the platform;
  3. Any content obtained from the platform; and
  4. Unauthorized access, use, or alteration of your transmissions or content.
  5. Any transaction or interaction between users, including but not limited to payment disputes, product quality issues, delivery problems, or personal safety concerns.

9. Indemnification

You agree to defend, indemnify, and hold harmless BarnYard, its officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the platform or your violation of these Terms.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Alberta, Canada, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

11. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our platform after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the platform.
